QUIET EDIT — TERMS & CONDITIONS

1. Business Registration & Licensing

Quiet Edit is a registered Oregon Limited Liability Company and is licensed to operate as a Home‑Based Business in the City of Lake Oswego.

License Number: BUS‑3068‑2026

Quiet Edit provides professional home transition coordination and space simplification at a concierge level, in accordance with all applicable local and state regulations.

2. Scope of Services

Quiet Edit provides advisory, organizational, and transition‑coordination services tailored to each client’s home and lifestyle. Services may include:

  • Home organization and simplification

  • Transition support during life changes

  • Space planning and functional improvements

  • Task management and coordination

  • Donation, release, and item‑editing guidance

All services are customized to the Client’s needs.

Quiet Edit does not provide cleaning, hauling, construction, or any services requiring specialized licensure.

3. Client Responsibilities

To ensure a productive and safe engagement, the Client agrees to:

  • Provide accurate information about the home and project

  • Ensure safe, accessible working conditions

  • Be present or reachable during scheduled sessions

  • Make timely decisions regarding items, storage, and releases

  • Secure valuables, fragile items, and irreplaceable belongings

Quiet Edit is not responsible for delays caused by third‑party vendors, contractors, or household members.

4. Scheduling, Rescheduling & Cancellations

Scheduling begins once the Client has accepted the proposal and an agreed‑upon date has been confirmed.

Quiet Edit may offer multiple proposed dates during the planning process; however, these dates are not secured until the Client formally confirms and accepts the proposal.

Quiet Edit reserves the right to schedule other clients on any proposed dates that remain unconfirmed.

For Clients on an ongoing monthly plan, Quiet Edit will allocate a set number of hours each month based on the agreed‑upon service level.

Quiet Edit will coordinate with the Client to determine monthly priorities, estimated dates, and preferred times for service.

These dates are scheduled collaboratively and may shift based on the Client’s evolving needs.

If an urgent need arises, Quiet Edit will make every reasonable effort to attend to the matter with the urgency required.

However, availability may be influenced by previously scheduled commitments, travel, or other factors.

Delays in responding to or attending urgent situations shall not be considered a breach of contract by Quiet Edit.

A minimum of 48 hours’ notice is required for rescheduling or cancellation.

Changes made with fewer than 48 hours’ notice may incur a fee of 50% of the remaining balance.

Same‑day cancellations or missed appointments may be charged in full.

5. Payment Terms

Payment is due as outlined in the Client’s proposal or invoice. Quiet Edit may require:

  • A deposit to secure project dates

  • Full payment upon completion of services

  • Additional fees for extended travel, materials, or third‑party coordination

All fees paid under this Agreement are non‑refundable unless otherwise stated.

6. Confidentiality & Privacy

Quiet Edit maintains strict confidentiality regarding all personal, household, and environmental information observed while performing services. This includes:

  • Home layout and contents

  • Personal routines and family information

  • Documents, conversations, and observations

No information will be shared with third parties without the Client’s written consent.

7. Home Access & Safety

Quiet Edit reserves the right to pause or discontinue services if:

  • Conditions are unsafe or unsanitary

  • The environment poses health risks

  • The project scope materially changes without notice

Quiet Edit handles all items with care; however, the Client remains responsible for valuables, fragile items, and irreplaceable belongings.

8. Recommendations & Decision‑Making

Quiet Edit provides advisory recommendations based on professional judgment and experience. The Client is solely responsible for:

  • Determining whether recommendations are appropriate

  • Implementing any changes

  • Approving purchases, releases, or donations

Quiet Edit is not liable for outcomes resulting from Client decisions.

9. Donation, Release & Removal of Items

Quiet Edit may assist with sorting, preparing, or coordinating donation or release of items.

The Client acknowledges:

  • Quiet Edit does not appraise item value

  • Quiet Edit is not responsible for sentimental decisions

  • Items released or donated cannot be retrieved

  • Quiet Edit does not transport items unless explicitly agreed upon

10. Photography & Media

If photography or recording is part of the engagement, the Client authorizes Quiet Edit to capture and use these materials for business purposes.

Quiet Edit will always use discretion and will never share identifying details without prior discussion.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Quiet Edit’s liability is limited to the amount paid for services

  • Quiet Edit is not responsible for incidental, consequential, or emotional damages

  • Quiet Edit is not liable for injuries unrelated to its work or caused by pre‑existing conditions in the home

12. Indemnification

The Client agrees to indemnify and hold Quiet Edit harmless from claims arising from:

  • Client decisions

  • Third‑party actions

  • Conditions within the home

  • Misuse of recommendations

13. Independent Contractor

Quiet Edit operates as an independent contractor. Nothing in this agreement creates a partnership, joint venture, or employment relationship.

14. Governing Law

These Terms & Conditions are governed by the laws of the State of Oregon and the City of Lake Oswego.

15. Acceptance of Terms

By engaging Quiet Edit, the Client acknowledges and agrees to these Terms & Conditions.
